Terms of Service

These Terms of Service (“Terms”) govern your use of Kwiro, operated by Inteliweave, a trade-licensed business in Bangladesh (Trade Licence No. 05/B-1854, issued by Rajshahi City Corporation; TIN 454764358310) — referred to below as “Company”, “we”, or “us”. By installing the plugin, signing up for an account, or using the API, you agree to these Terms. If you don’t agree, don’t use the Service.
1. The Service
Kwiro is an AI-powered sales assistant for WooCommerce stores. The service includes a chat widget, cloud-hosted AI inference, an analytics dashboard, product catalog sync, and related features. We may add, modify, or remove features. Material reductions in functionality available to paid customers will be communicated by email at least 30 days before they take effect.
2. Account, API key, and security
- You are responsible for keeping your API key, magic-link tokens, and dashboard credentials secure. Don’t share them.
- Each API key is tied to a single WooCommerce store. Multi-store accounts on Scale tier get a separate key per store.
- You must be at least 18 years old or the age of legal majority in your jurisdiction to enter into this agreement.
- You must give us accurate billing and contact information.
3. Plans, billing, and overage
- Free plan: 200 AI conversations / month, English only, “Powered by Kwiro” badge required.
- Paid plans (Pro, Growth, Scale): subscription billed monthly or annually via Paddle. Paddle.com Market Limited acts as our merchant of record for all paid subscriptions, handles payment processing, and is the seller on your invoice. Plan limits and pricing are listed on /pricing.
- Overage: paid plans never hard-stop mid-conversation. If you exceed your monthly conversation cap, you are billed $10 per additional 1,000 conversations, capped at 2× your plan’s base limit.
- Founding-member pricing: any subscription started during the announced founding-member window is locked at the founding price for as long as the subscription remains active and continuous. Cancellation and resubscription voids the founding rate.
- We may change non-founding pricing with at least 30 days’ written notice (email). Continued use after the effective date constitutes acceptance of the new price.
4. Cancellation and downgrades
- You can cancel any time from your dashboard. No cancellation fee. Your plan stays active until the end of the current billing period.
- Downgrades: take effect at the next renewal (you keep paid features until the period ends).
- Upgrades: take effect immediately, prorated for the remainder of the period.

5. Acceptable Use
You agree to follow our Acceptable Use Policy. The non-exhaustive list:
- Don’t use Kwiro to distribute spam, malware, illegal content, or content that infringes third-party rights.
- Don’t attempt to extract our system prompt, reverse-engineer the AI, scrape model weights, or use the Service to train competing models.
- Don’t bypass rate limits, plan caps, or attempt to access another customer’s data.
- Don’t use the Service in jurisdictions or for purposes prohibited by export controls or sanctions law.
We may suspend or terminate accounts that violate this policy, with notice where reasonable. Severe violations (illegal content, attacks on our infrastructure, large-scale spam) may result in immediate termination without notice.
6. Data ownership and licensing
- You own your product data, conversation transcripts, and analytics data. We claim no ownership of your content.
- You grant us a non-exclusive, worldwide license to process your data only as necessary to provide the Service to you.
- We may use aggregated, anonymised, non-identifying data to improve the AI for all customers (e.g., “30% of beauty stores get questions about ingredients”). We never share identifying data across customers.
- You are responsible for obtaining any consents your jurisdiction requires from your end shoppers regarding chat data.
7. Intellectual property
All Kwiro software, the prompts that run our AI, the test suite, the dashboard UI, and the trademark “Kwiro” are owned by the Company. Subscribing does not transfer ownership of any part of the Service to you. You receive a non-exclusive, non-transferable license to use the Service for your store(s) for the duration of an active subscription.
8. AI output disclaimer
The AI generates responses automatically. We commit to a near-zero hallucination rate on product data and publish our test results at /proof, but we cannot guarantee every response is accurate. You acknowledge that:
- AI responses may occasionally be incorrect, incomplete, or unexpected.
- You are responsible for setting accurate product data, sale information, and policy text in your WooCommerce store, since the AI uses that as its source of truth.
- You should review AI responses periodically and use the Memory Inspector to correct any patterns that don’t fit your brand.
- The Service is not intended for medical, legal, financial, or other regulated advice. Use the “Forbidden Topics” configuration to restrict the AI in regulated verticals.
9. Service availability and uptime
We target 99.5% uptime measured monthly. We publish live status at /status. If we miss the uptime target in a calendar month, paying customers receive service credits as follows on request to [email protected]:
- Below 99.5%: 5% of monthly fee credited.
- Below 99.0%: 10% credited.
- Below 95.0%: 25% credited.
Credits are the sole remedy for downtime and may not exceed one month’s subscription fee in any 12-month period. Scheduled maintenance announced at least 48 hours in advance does not count toward downtime.
10. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost sales, lost revenue, lost data, lost goodwill, or business interruption — arising out of or related to your use of the Service.
- Our total cumulative liability under these Terms is limited to the greater of (a) USD $100 or (b) the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim.
- Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; in those jurisdictions the limitations apply only to the extent permitted.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, employees, contractors, and sub-processors from any third-party claim arising out of (a) your use of the Service in violation of these Terms, (b) inaccurate product data or policy information you set in your store, (c) your violation of any law or third-party right, including intellectual property and privacy rights.
We agree to indemnify you for any claim that the Service itself (excluding your data and configuration) infringes a third party’s intellectual property right, provided you (i) notify us promptly of the claim, (ii) let us control the defence, and (iii) cooperate reasonably.
12. Termination
- You may terminate at any time by cancelling your subscription.
- We may terminate for material breach of these Terms with 14 days’ written notice (email), unless the breach is illegal use, security violation, or repeated abuse — in which case termination is immediate.
- On termination: you can export your data for 30 days. After 30 days, we delete your data per the retention policy in our Privacy Policy.
- Sections 6 (data ownership), 7 (IP), 10 (liability), 11 (indemnification), 14 (governing law) survive termination.
13. Force majeure
Neither party is liable for failure to perform due to events outside reasonable control — natural disasters, war, pandemic, government action, internet or electricity outages affecting wide regions, or third-party service failures (e.g., a regional outage at one of our cloud or AI providers). The affected party will notify the other and resume performance as soon as practicable.
14. Governing law and dispute resolution
These Terms are governed by the laws of Bangladesh, where the operating Company is registered, without regard to conflict-of-law principles. The exclusive venue for any dispute is the competent courts of Rajshahi, Bangladesh, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
For Customers domiciled in the EU/UK, you may also bring a claim in the courts of your country of residence as required by applicable consumer protection law.
Informal resolution. Before filing any formal dispute, you agree to email [email protected]with a description of the issue and proposed resolution. We’ll respond within 30 days. Most disputes are resolved at this stage.
15. Modifications to these Terms
We may revise these Terms. Material changes will be communicated to Customers by email at least 30 days before the effective date. Continued use of the Service after the effective date constitutes acceptance. If you don’t agree to the new Terms, you may cancel before they take effect.
16. General
- Entire agreement. These Terms (together with the Privacy Policy, Refund Policy, Acceptable Use Policy, and any DPA you sign) are the entire agreement between you and the Company.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of substantially all assets, on at least 30 days’ notice.
- Notices. We send notices to the email on your account. You send notices to [email protected].
